End User License Agreement — Clar

Please read this End User License Agreement ("Agreement") carefully before installing or using Clar ("Software"). By installing or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use the Software.

1. License Grant

Lleu Labs Inc. grants you a personal, non-exclusive, non-transferable, revocable license to install and use the Software on devices you own or control, solely for your personal or internal business purposes. This license is granted at no cost and does not convey any rights beyond those expressly stated herein.

2. Restrictions

You may not:

  • Redistribute, sublicense, sell, rent, or lease the Software or any portion of it
  • Repackage or rebrand the Software for distribution
  • Reverse engineer, decompile, or disassemble the Software except to the extent permitted by applicable law
  • Use the Software to develop a competing product
  • Remove or alter any copyright, trademark, or proprietary notices
  • Use the Software to process content that infringes the intellectual property rights of any third party

3. Ownership

The Software, including all intellectual property rights therein, is and remains the exclusive property of Lleu Labs Inc. This Agreement does not transfer any ownership rights to you. "Clar" is a trademark of Lleu Labs Inc. All rights reserved.

4. Free Distribution and Future Pricing

The Software is currently distributed at no charge. This does not constitute a waiver of any rights, nor does it obligate Lleu Labs Inc. to continue free distribution. Lleu Labs Inc. reserves the right to introduce charges for future versions, paid support tiers, or other offerings at any time without notice or obligation to existing users. Current free users acquire no entitlement to future versions at no cost.

5. Voluntary Payments

If you choose to make a voluntary payment ("tip") in support of the Software, such payment confers no rights, guarantees, or obligations of any kind. Voluntary payments are non-refundable and do not constitute a purchase of any product or service.

6. Support

Lleu Labs Inc. is not obligated to provide technical support, maintenance, updates, or bug fixes under this Agreement. Lleu Labs Inc. welcomes enquiries and may, at its discretion, offer paid support arrangements in the future. No response time or resolution outcome is guaranteed under any circumstances unless expressly agreed to in a separate written support agreement.

7. No Warranty

The Software is provided "as is" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Lleu Labs Inc. does not warrant that the Software will be error-free, uninterrupted, or suitable for your intended use.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Lleu Labs Inc. shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages arising from your use of or inability to use the Software, including but not limited to loss of data, loss of revenue, loss of business, or corruption of files, even if Lleu Labs Inc. has been advised of the possibility of such damages.

You assume full responsibility for any data loss or damage resulting from use of the Software. You are solely responsible for maintaining adequate backups of your data.

9. Third-Party Software

The Software incorporates or interoperates with the following open-source components, each governed by their respective licenses:

FFmpeg is not bundled with the Software. On first launch, Clar checks for an existing FFmpeg installation. If none is found, you may allow Clar to install it on your behalf, install it yourself independently, or skip installation and use the Software without audio processing features. You may assign any compatible FFmpeg installation via the settings panel at any time. Your use of FFmpeg is subject to its own license terms, available at ffmpeg.org/legal.html.

10. Intellectual Property Compliance

You agree to use the Software only in compliance with all applicable copyright, intellectual property, and other laws. You are solely responsible for ensuring that any content you process using the Software does not infringe the rights of any third party. Lleu Labs Inc. bears no responsibility for your use of the Software in connection with infringing content.

11. Termination

This Agreement is effective until terminated. Your rights under this Agreement terminate automatically and without notice if you breach any of its terms. Upon termination, you must cease all use of the Software and delete all copies in your possession.

12. Governing Law

This Agreement is governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of Ontario.

13. Severability

If any provision of this Agreement is found to be unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

14. Entire Agreement

This Agreement constitutes the entire agreement between you and Lleu Labs Inc. with respect to the Software and supersedes all prior understandings, representations, or agreements relating to it.

15. Amendments

Lleu Labs Inc. reserves the right to amend this Agreement for future versions of the Software. Continued use of a new version constitutes acceptance of the amended terms.
